What happens to my unvested stock options at time of closing?
Unvested stock options will vest immediately at the time of closing. These stock options will be converted into a cash payment equal to the number of unvested stock options multiplied by the difference between the value of the merger consideration, which is $75.76 in cash and 0.2686 LabCorp shares for each Covance share, and the aggregate original exercise prices. This amount will be paid to the holder as soon as administratively practicable following closing (but no later than 10 business days after the closing), less applicable taxes and deductions. For purposes of calculating the value of the merger consideration, the price of each LabCorp share will equal the average of the volume weighted average trading prices of LabCorp shares on each of the 10 consecutive trading days ending on (and including) the third trading day before the closing date.
 
How was the merger consideration of $75.76 in cash and 0.2686 LabCorp shares for each Covance share determined?
The merger consideration of $75.76 in cash and 0.2686 LabCorp shares for each Covance share was an element of the transaction that was negotiated between the parties.  Based on the LabCorp closing price of $109.29 on October 31, 2014, the last trading day before the announcement of the transaction, the merger consideration would have been comprised of approximately 72% cash and 28% LabCorp shares.  The value of the merger consideration at the time of the closing will depend in part on the value of LabCorp shares at such time.
 
Does the reference to $105.12 have any relevance beyond the November 3, 2014 press release?
No.  The reference to $105.12 in the November 3, 2014 press release was a point-in-time value utilized to illustrate the value of the merger consideration at the time of the press release.  The value of the merger consideration at the time of the closing will depend in part on the value of LabCorp shares at such time.
