On December 7, 2005 Agilysys, Inc. (the “Company”) issued a press release announcing its purchase of the China and Hong Kong operations of Mainline Information Systems, Inc. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
