ITEM 4.01 Changes in Registrants Certifying Accountant.
Effective June 24, 2005, the Audit Committee of the Board of Directors of Redwood Trust, Inc. (the Company) engaged Grant Thornton LLP as the Companys independent registered public accounting firm to audit the Companys financial statements for the fiscal year ending December 31, 2005.
During the fiscal years ended December 31, 2004 and 2003 and from January 1, 2005 through June 24, 2005, neither the Company nor anyone acting on its behalf consulted Grant Thornton LLP regarding (1) the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Companys financial statements; or (2) any matter that was either the subject of a disagreement (as defined in Item 304(a)(1)(iv) of Regulation S-K) or a reportable event (as described in Item 304(a)(1)(v) of Regulation S-K).
