Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
     (b) On February 16, 2007, L. E. Simmons informed Oil States International, Inc. (the “Company”) that Mr. Simmons would resign as a director of the Company effective immediately.
     (b) and (c) On February 20, 2007, the Company issued a press release announcing that Douglas E. Swanson will retire as Chief Executive Officer of the Company, effective April 30, 2007. Mr. Swanson, who has been Chief Executive Officer of the Company since 2000, will remain a director of Oil States. Cindy B. Taylor, President and Chief Operating Officer, will succeed Mr. Swanson as Chief Executive Officer effective May 1, 2007.
Item 7.01 Regulation FD Disclosure.
     On February 16, 2007, L. E. Simmons informed the Company that Mr. Simmons would resign as a director of the Company effective immediately. A copy of Mr. Simmons’ letter of resignation is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
     On February 20, 2007, the Company issued a press release announcing that Douglas E. Swanson will retire as Chief Executive Officer of the Company, effective April 30, 2007. Mr. Swanson, who has been Chief Executive Officer of the Company since 2000, will remain a director of Oil States. Cindy B. Taylor, President and Chief Operating Officer, will succeed Mr. Swanson as Chief Executive Officer effective May 1, 2007.
