Item 9. Regulation FD Disclosure.
The following disclosure related to Exhibit 99.1 is being filed pursuant to Item 12 of Form 8-K Disclosure of Results of Operations and Financial Condition in accordance with the guidance provided by the Securities and Exchange Commission pursuant to SEC Release No. 33-8216 dated March 27, 2003.
On July 16, 2003, the Company issued a press release announcing its financial results for the second quarter ended June 30, 2003. A copy of the companys press release is attached as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.
The Companys consolidated financial statements prepared in accordance with generally accepted accounting principles (GAAP) are referred to as its reported financial statements. Loans included in securitization transactions which qualified as sales under GAAP have been removed from the Companys reported balance sheet. However, interest income, interchange, fees and recoveries generated from the securitized loan portfolio net of charge-offs in excess of the interest paid to investors of asset-backed securitizations are recognized as non-interest income on the reported income statement.
The Companys managed consolidated financial statements add back the effects of securitization transactions qualifying as sales under GAAP. The Company generates earnings from its managed loan portfolio which includes both on-balance sheet loans and off-balance sheet loans. The Companys managed income statement takes the components of the non-interest income generated from the securitized portfolio and distributes the revenue to appropriate income statement line items from which it originated. For this reason the Company believes the managed consolidated financial statements and related managed metrics to be useful to stakeholders.
