Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of
Certain Officers; Compensatory Arrangements of Certain Officers.
On September 14, 2009, the Board of Directors of Capital Senior Living
Corporation (the “Company”) appointed Michael W. Reid as a director of the Company effective as of
October 1, 2009 for a term expiring at the 2012 annual meeting of stockholders of the Company. Mr.
Reid’s appointment fills the vacancy created by the previously announced retirement of James A.
Stroud as a director of the Company.
