Item 9. Regulation FD Disclosure.

          On April 12, 2004, Ingram Micro Inc. (“Ingram Micro”) issued a press release announcing that Howard I. Atkins, executive vice president and chief financial officer of Wells Fargo & Company, San Francisco, has been elected as the ninth member of Ingram Micro’s Board of Directors. He will serve on the Board’s Human Resources and Governance Committees. A copy of the press release is attached hereto as Exhibit 99.1, the text of which is incorporated under Item 9 of this Form 8-K by reference herein.
