Until the audit for December 31, 2005 is finalized, the registrant cannot complete and file its Form 10-QSB for the period ended March 31, 2006. On September 1, 2005, the registrant sold to Texas Energy Trust Company certain leases for oil and natural gas production, certain oil and gas wells and all equipment and other property attached to the wells, vehicles and other equipment, parts, inventories and other assets. Also, on April 7, 2006, the registrant finalized the sale of its well servicing and maintenance business operated through its subsidiary, Arvilla, Inc. As a result of these transactions, management estimates that the registrant's revenues for the three month period ended March 31, 2006 will be reduced by approximately 50% when compared to the three month period ended March 31, 2005.
