Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

(d) Effective April 15, 2009, Umpqua Holdings Corporation appointed Peggy Fowler to the board of directors. Ms. Fowler most recently served as President and Chief Executive Officer of Portland General Electric Company from April 2000 to December 31, 2008 and as Co-Chief Executive Officer from January 1, 2009 to March 1, 2009. Ms. Fowler will be appointed to the Budget Committee, Compensation Committee and Financial Services Committee.
