Item 8.01.   Other Events.

On February 25, 2019, Seritage Growth Properties (the “Company”) announced that its Board of Trustees declared a cash dividend of $0.25 per Class A and Class C common share for the first quarter of 2019.  The common dividend will be paid on April 11, 2019 to Class A and Class C shareholders of record on March 29, 2019.

The Company also announced today that its Board of Trustees does not currently expect to declare additional dividends on the Company’s Class A and Class C common shares for the remainder of 2019, based on its assessment of the Company’s investment opportunities and its expectations of taxable income for the year.  The Company’s Board of Trustees will reevaluate this position at the end of 2019, as necessary, to ensure that the Company meets its distribution requirements as a REIT.

The Company also announced today that its Board of Trustees has declared a cash dividend of $0.4375 per share of its 7.00% Series A Cumulative Redeemable Preferred Shares.  The preferred dividend will be paid on April 15, 2019 to holders of record on March 29, 2019.  The Company’s Board of Trustees expects that cash dividends for its preferred shares will continue to be paid each quarter.
