Item 5. Other Events and Regulation FD Disclosure.
On June 6, 2002, the Board of Directors of the Registrant declared a
dividend on the Registrant's 6.40% Cumulative Preferred Stock, Series A issued
on May 6, 2002. The dividend of $0.48 per share, which is for the period from
May 6, 2002 to June 30, 2002, will be payable on July 1, 2002 to stockholders of
record as of June 20, 2002.
