Item 5.02   Departure of Directors or Certain Officers; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 26, 2010, the Board of Directors amended and restated the Company’s Executive Severance Compensation Plan to modify the amount of severance benefits payable under the Plan and remove any excise tax gross-up payment for excise taxes that may be imposed by Internal Revenue Code Section 4999 due to a Participant’s receipt of severance benefits, and make various other changes.

This description of the Plan as amended and restated is qualified in its entirety by the terms of the Amended and Restated Plan, a copy of which is attached as Exhibit 10.5 and is incorporated herein by reference.
