PART III -- NARRATIVE

State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, or the transition report portion thereof, could not be filed within the prescribed time period. 

The Company closed a major equity and debt financing transaction with affiliates of Columbus Nova Capital on January 13, 2005.  New executive management has also been appointed in connection with the closing of this transaction.  The Company is currently completing the preparation of its Form 10-Q to properly disclose the closing of the transaction, specifics of the financing transactions, and details of the new executive management.  The Company expects to file its Form 10-Q by January 19, 2005.
