Item 8.01 Other Events.

On August 17, 2009, UDR, Inc. issued a press release announcing that it has established a joint venture with Kuwait Finance House to invest up to $450 million in multifamily properties located in key, high barrier markets. This joint venture is owned 70% by Kuwait Finance House and 30% by UDR, Inc. A copy of the press release is included as Exhibit 99.1 to this Current Report on Form 8-K and incorporated by reference herein.
