On February 11, 2005, D. Harcourt Lees, Jr., age 82, a director of Fauquier Bankshares, Inc. (the "Company") since 1954, notified the Company's Board of Directors that he will retire from the Board of Directors at the end of his current term of office (the 2005 Annual Meeting of Shareholders) and not seek re-election.
