(2) | The phantom stock units were accrued in Mr. Stollenwerk's Badger Meter, Inc. Director Deferred Compensation Plan account for the 11/18/05 meeting of the Board of Directors. The meeting fee is $1,500. The phantom units were computed at the 9/30/05 closing price of $39.34/share. |
