On May 12, 2015, the Compensation Committee of the Board of Directors of Zendesk, Inc. (the Company) approved the Zendesk, Inc. Change in Control Acceleration Plan (the Acceleration Plan). The Acceleration Plan provides the Vice Presidents and above of the Company who agree to participate in the Acceleration Plan (together, the Covered Executives) with accelerated vesting of their outstanding equity grants in the event that such Covered Executives employment with the Company is terminated under certain circumstances following a change in control (as defined in the Acceleration Plan).
In the event that a Covered Executives employment is terminated on or within 12 months following the date of a change in control either (i) by the Company other than for cause (as defined in the Acceleration Plan), death or disability, or (ii) by the Covered Executive with good reason (as defined in the Acceleration Plan), all outstanding stock options and other stock-based awards that are subject to time-based vesting and that are then held by the Covered Executive will immediately accelerate and become exercisable or nonforfeitable, as applicable, as of the date of such a termination.
The foregoing discussion is qualified in its entirety by reference to the copy of the Acceleration Plan, which is being filed with this current report on Form 8-K as Exhibit 10.1 and is incorporated herein by reference.
