In determining annual cash bonus incentive payments for the Companys Current Named Executive Officers at the end of the year, the Compensation Committee bases its decisions on a number of factors, including the Companys financial performance, the achievement of certain strategic goals established at the beginning of the fiscal year, and each executives contribution to the Companys overall performance. If the Company exceeds its goals and/or the executive exceeds his established goals, the annual cash bonus incentive could be subject to increase by the Compensation Committee, up to a maximum of 200% of the executives bonus target.
As part of the Companys long-term incentive compensation plan for 2015, in addition to stock options and restricted stock units, the Compensation Committee granted each Current Named Executive Officer performance-based restricted stock units (PSUs) with a three-year performance-based vesting period, pursuant to the Companys 2007 Equity Incentive Plan. A copy of the form of award agreement for the PSUs is filed herewith as Exhibit 10.1 and the foregoing description of the form of award agreement is qualified in its entirety by reference to the terms and provisions thereof.
Additional information regarding compensation of the Current Named Executive Officers will be included in the Companys 2015 Proxy Statement when filed with the Securities and Exchange Commission.
