Item 1.01. Entry into a Material Definitive Agreement

On June 5, 2013, U.S. Silica Holdings, Inc. (the “Company”) and a stockholder of the Company entered into an underwriting agreement (the “Underwriting Agreement”) with Morgan Stanley & Co. LLC and Merrill Lynch, Pierce, Fenner & Smith Incorporated, as representatives of the underwriters, in connection with the offering of 12,000,000 shares of the Company’s common stock (the “Offering”), sold by the selling stockholder, at a public offering price of $19.60 per share. The Underwriting Agreement grants the underwriters an option to purchase an additional 1,800,000 shares of the Company’s common stock, and the underwriters exercised this option in full on June 6, 2013. The Underwriting Agreement contains customary representations, warranties, covenants and conditions. In the Underwriting Agreement, the Company agreed to indemnify the underwriters and the selling stockholder against certain liabilities that could be incurred by them in connection with the Offering.

The closing of the sale of the shares contemplated by the Underwriting Agreement, including shares sold pursuant to the underwriters’ option to purchase additional shares, occurred on June 11, 2013. The selling stockholder received all of the proceeds from the Offering, and the Company did not receive any proceeds from the Offering.

The Offering was made pursuant to the Company’s Registration Statement on Form S-3 (No. 333-186406) (the “Registration Statement”), including a prospectus supplement dated June 5, 2013 to the prospectus contained in the Registration Statement dated March 8, 2013, filed by the Company pursuant to Rule 424(b)(7) under the Securities Act of 1933, as amended.
