Item 8.01 Other Events.

On May 11, 2011, eDiets.com, Inc. (the “Company”) announced that it has extended the subscription period for its rights offering to 5:00 p.m. New York time on Friday, May 13, 2011. The subscription period for the rights offering was scheduled to expire at 5:00 p.m. New York time on Wednesday, May 11, 2011. Other than the extension of the expiration date of the rights offering, all of the offering terms described in the prospectus dated April 21, 2011 remain the same and apply during the extended period of the rights offering.

A copy of the press release announcing the extension of the rights offering is included as Exhibit 99.1 and is incorporated herein by reference.
