Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 25, 2010, the Compensation Committee of First American Financial Corporation (the “Company”) established the post spin-off compensation of Parker S. Kennedy, executive chairman, at $350,000 per annum. On August 31, 2010, the Compensation Committee increased the salary, target bonus and long term incentive restricted stock unit award opportunity of Max O. Valdes to $450,000, $550,000 and $175,000, respectively, effective upon Mr. Valdes’ appointment as chief financial officer of the Company on August 26, 2010.
