Item 3.01 | Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing |
On June 28, 2010, eDiets.com, Inc. (the Company) received a letter from The Nasdaq Stock Market (Nasdaq) indicating that the Company is not in compliance with Nasdaqs requirements for continued listing because, for the previous 30 consecutive business days, the bid price of the Companys common stock closed below the minimum $1.00 per share price requirement for continued listing on The Nasdaq Capital Market under Marketplace Rule 5550(a)(2) (the Rule). The Company has a period of 180 calendar days, or until December 27, 2010, to regain compliance with the Rule.
If, at any time before December 27, 2010, the bid price of the Companys common stock closes at $1.00 per share or more for a minimum of 10 consecutive business days, Nasdaq will provide the Company written notification that it is in compliance with the Rule. However, if the Company does not regain compliance with the Rule by December 27, 2010, Nasdaq will determine whether the Company meets The Nasdaq Capital Market initial listing criteria set forth in Marketplace Rule 5505, except for the bid price requirement, and if it does, the Company will be granted an additional 180 calendar day compliance period.
