Item 7.01 Regulation FD Disclosure.

On August 21, 2007, Asbury Automotive Group, Inc. (the “Company”) adopted a written trading plan (the “Plan”) under Rule 10b5-1 of the Securities Exchange Act of 1934, as amended, for the purposes of repurchasing shares of its common stock, par value $.01 per share (the “Common Stock”). The Plan is the first trading plan adopted pursuant to the Company’s previously announced authorization by its board of directors to repurchase up to 2,000,000 shares of its Common Stock.
