On July 12, 2007, American Standard Companies Inc., a Delaware corporation (the Company), issued a press release announcing that its Board of Directors formally approved on July 11, 2007 the spin-off of its Vehicle Control Systems business through the distribution of 100% of the common stock of its WABCO Holdings Inc. subsidiary to stockholders of the Company. The distribution to the Companys stockholders of record as of the close of business on July 19, 2007 is expected to occur after the close of business on July 31, 2007. A copy of the press release is attached as Exhibit 99.1 and incorporated by reference herein.
