Item 1.01 Entry into a Material Definitive Agreement.

On August 11, 2006, The First American Corporation received a waiver, dated as of August 9, 2006, from a majority of lenders under the Company’s $500 million credit facility of the breach created by the Company’s inability to timely file its quarterly report on Form 10-Q due to the circumstances disclosed in the Company’s current report on Form 8-K dated August 9, 2006 and in the Company’s notification of late filing on Form 12b-25 dated August 10, 2006. A copy of the waiver is attached hereto as Exhibit 99.1. As of August 14, 2006, no amount is outstanding under this credit facility.
