INTRODUCTORY STATEMENT

 

This Amendment No. 1 to Schedule TO is filed by Parametric Technology Corporation, a Massachusetts corporation (“PTC”), and amends and supplements the Tender Offer Statement on Schedule TO filed with the Securities and Exchange Commission on July 6, 2005, in connection with PTC’s Offer to Exchange Outstanding Options with Exercise Prices of $9 or More, dated July 6, 2005. This amendment is being filed solely to add additional exhibits to the Schedule TO.
