Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

 

  (b) Ian Loring, formerly a director of the Company, resigned effective February 11, 2005. Mark Benham, formerly a director of the Company, resigned effective February 11, 2005.

 

  (d) Wayne McLeod was appointed as a director of the Company effective February 11, 2005. Mr. McLeod is a member of the nominating and governance committee and the audit committee of the Company’s Board of Directors.
