Section 7 Regulation FD
Item 7.01 Regulation FD Disclosure.
On September 27, 2004, Chart Industries, Inc. (the Company) made a voluntary $12.0 million prepayment on the term loan portion of its term loan agreement and revolving credit facility (collectively, the Credit Facility), which the Company entered into on September 15, 2003. The Company made this prepayment after considering its cash provided by operating activities for the eight-months ended August 31, 2004 and managements belief that forecasted operating cash flows and the ability to borrow cash, if necessary, under the revolving credit portion of the Credit Facility would be sufficient to satisfy the Companys working capital, capital expenditure, restructuring and debt-related cash requirements for the remainder of 2004. The prepayment reduced all future scheduled quarterly term loan amortization payments on a pro-rata basis, and follows the Companys two previous voluntary prepayments made in April 2004 and December 2003, each of which was in the amount of $10.0 million.
This Current Report on Form 8-K contains forward-looking statements relating to the Companys or managements intentions, beliefs, expectations or predictions for the future. Such forward-looking statements are subject to certain risks, assumptions and uncertainties that could cause actual results to differ materially from those expressed or implied by such statements. Such risks, assumptions and uncertainties include, but are not limited to, developments in disputes and litigation involving the Company, changes in general economic, political, business and market conditions, decreases in spending by the Companys customers or the failure of the Companys customers to make anticipated increases in spending, the impact of competition, the loss of a major customer or customers, the Companys ability to attract and retain key personnel, the threat of terrorism and the impact of responses to that threat, the costs of compliance with environmental matters and responding to potential environmental liabilities, the ability of the Company to successfully realize operational restructuring savings and execute operational restructuring initiatives without unanticipated costs, and other risks referenced from time to time in the Companys filings with the Securities and Exchange Commission. The Company does not assume any obligation to update any of these forward-looking statements.
