Item 5. Other Events.

 

On August 12, 2004, Dynegy Inc. (“Dynegy”) used $154 million in proceeds from its $600 million term loan to pre-pay all outstanding indebtedness and other obligations under Dynegy’s ABG Gas Supply financing. This pre-payment was required by the terms of Dynegy’s May 2004 restructured credit facility.
