Item 5. Other Events and Required FD Disclosure.
On May 5, 2004, Ethyl Corporation (the “Company”) issued a press release, attached as Exhibit 99.1 hereto and incorporated herein by reference, reporting that the Board of Directors has recommended that its shareholders approve a proposal for the Company to move to a holding company structure. The Board of Directors also has approved the change of the name of the Company’s petroleum additives subsidiary from Ethyl Petroleum Additives, Inc. to Afton Chemical Corporation.
