Non-Reliance on Previously Issued Financial Statements or a Related Audit Report or Completed Interim Review. On April 15, 2005, management of the Company and the Audit Committee of the Board of Directors, after discussion with Deloitte & Touche LLP, the Company's independent registered public accounting firm, concluded that the financial statements reported in the Company's Form 10-K for the fiscal year ended July 31, 2004 and the Form 10-Q filings for each of the fiscal quarters ended October 30, 2004 and January 29, 2005 should be restated because the Company's prior classification of allowances from developers (related to the construction of its stores) as a reduction of capital expenditures in the preparation of the balance sheets and statements of cash flows contained in such financial statements was in error. Accordingly, such previously filed financial statements should no longer be relied upon because of these errors. The Company will restate the previously filed financial statements to correct the errors and expects to file restated financial statements as soon as practicable.
