Item 1.01 Entry into a Material Definitive Agreement.

On August 5, 2008, the Company executed a Third Modification to Loan and Security Agreement with Comerica Bank (“Third Modification”) which amends the Loan and Security Agreement with Comerica Bank, dated January 29, 2007 (the “Loan Agreement”) to change the maturity date of the Credit Facility from July 1, 2009 to October 1, 2009, at which time all outstanding amounts under the Credit Facility will become due and payable. The Third Modification is dated effective as of August 4, 2008.

The foregoing summary does not purport to be complete and is qualified in its entirety by reference to the Third Modification.
 
Item 2.02 Results of Operations and Financial Condition.
 
On August 6, 2008, Akeena Solar, Inc. (the “Registrant”) issued a press release announcing financial results and certain other information related to the quarter ended June 30, 2008. A copy of the press release is attached as Exhibit 99.1 hereto (the “Press Release”).
 
In conjunction with the issuance of the Press Release, the Registrant will conduct a conference call with investors and financial analysts on August 6, 2008 to discuss the financial results for the quarter ended June 30, 2008 and other information relating to the Registrant’s business.
