Item 2.02 Results of Operations and Financial Condition.
On June 13, 2005, 21st Century Holding Company (the "Company") issued a press
release to report minimal damage caused from Tropical Storm Arlene and reaffirm
guidance as previously stated in its press release dated March 23, 2005. A copy
of the press release is attached to this current report on Form 8-K as Exhibit
99.1 and incorporated herein by reference.
