Item 8.01 Other Events
As previously disclosed in a Current Report on Form 8-K filed on September 24, 2009, Coherent, Inc., by and through its Special Litigation Committee, plaintiffs, and certain of Coherents former and current officers and directors entered into a settlement of the consolidated shareholder derivative litigation captioned In re Coherent, Inc. Shareholder Derivative Litigation, Lead Case No. C-07-0955-JF (N.D. Cal.), which settlement was subject to the final approval of the United States District Court for the Northern District of California.
On November 20, 2009, a hearing for final approval of the settlement was held in the United States District Court for the Northern District of California. On November 24, 2009, the court entered an Order and Final Judgment, which approved the settlement and dismissed the action with prejudice (Final Order). The Final Order is attached hereto as Exhibit 99.1.
