(b)   On March 30, 2009, Russell A. Whitney submitted his resignation as a director of Whitney Information Network, Inc. and all of its subsidiaries.  A copy of Mr. Whitney’s resignation letter, which was submitted via e-mail, is attached as Exhibit 99.1
