Item 2.02 Results of Operations and Financial Condition.
On February 15, 2007, Career Education Corporation (the “Registrant”) issued a press release to report the Registrant’s financial results for the fourth quarter and year ended December 31, 2006. Subsequently on February 15, 2007, the Registrant issued a correcting and replacing press release that included corrected unaudited consolidated statements of cash flows for the three and twelve months ended December 31, 2006. The correcting and replacing press release is attached hereto as Exhibit 99.1, and the information contained therein is incorporated herein by reference. The information contained in Item 2.02 to this Form 8-K, including the exhibit, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, and the information shall not be deemed incorporated by reference into any filing under the Securities Act of 1933, as amended, except as shall be expressly set forth by specific reference in such filing.
