Item 3.01
 
On December 19, 2006, j2 Global Communications, Inc. (the “Company”) received a written notification from the staff of The Nasdaq Stock Market stating that the Nasdaq Listing Qualifications Panel has granted the Company’s request for continued listing on The Nasdaq Stock Market, subject to the following conditions:
 
a)  
the Company’s submission, by January 3, 2007, of written information in response to certain questions relating to its previously announced special committee investigation, and
 
b)  
the filing by the Company of all delinquent reports and any necessary restatements by February 13, 2007.
 
It is the Company’s intent to provide the Listing Qualifications Panel with the requested information and to come into compliance with the NASDAQ listing qualifications.
