On February 12, 2004, the Board of Directors of Lifeway Foods, Inc. (the
"Company") declared by resolution a two-for-one stock split of the common stock
of the Company payable on March 8, 2004 to all of the Company's stockholders of
record as of February 27, 2004. Attached as an exhibit to this current report is
a press release issued by the Company on February 13, 2004 regarding the
foregoing. The attached press release is incorporated by reference herein.
