Item 5.02(b). Departure of Directors or Principal Officers: Election of Directors; Appointment of Principal Officers.

Effective December 31, 2005, Kevin A. Mundt has resigned from the Board of Directors of Telephone and Data Systems, Inc. ("TDS") due to other business commitments. As previously disclosed, Mr. Mundt had advised TDS that he did not expect to complete his current term as a director due to such other business commitments. TDS is using a search firm to continue its search for a qualified candidate to fill the vacancy created by the resignation of Mr. Mundt.
