(b) Resignation of an Officer and Director
On November 3, 2006, the Board of Directors accepted the resignation of Carl
Olivieri, dated October 27, 2006, as Executive Vice President and as a member of
our Board of Directors. Mr. Olivieri's Resignation was not the result of any
disagreement between us and him.
A copy of the press release issued by the Company announcing the resignation of
Mr. Olivieri is filed as Exhibit (99) to this Form 8-K.
