Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain
Officers; Compensatory Arrangements of Certain Officers.
On April 30, 2014, the Compensation Committee (the “Committee”) of the Board of Directors of Nuance Communications, Inc. approved an increase in the annual base salary of Mr. Thomas Beaudoin from $450,000 to $500,000 and approved the issuance of an additional 25,000 restricted stock units to Mr. Beaudoin, the vesting of which will be tied to the achievement of performance criteria to be determined by the Committee.
